Terms of Service

1. Acceptance of terms

By accessing or using the Reputito platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms form a legally binding agreement between you (the “Customer”) and Reputito SRL, a company registered in Romania (“Reputito”, “we”, “us”, “our”). If you are accepting on behalf of a company, you represent that you have authority to bind that company.

2. Description of service

Reputito is a Software-as-a-Service (SaaS) platform that enables businesses and creators to manage social media comments across Instagram, Facebook, TikTok, YouTube, Google Play and Google My Business from a single dashboard. Features include AI-powered comment analysis, automated reply generation, sentiment monitoring, reporting and a knowledge base system.

We reserve the right to modify, suspend or discontinue any feature or the entire Service at any time, with reasonable notice where possible.

3. Account registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Keeping your login credentials confidential.
• All activity that occurs under your account.
• Notifying us immediately at legal@reputito.com if you suspect unauthorised access.

You must be at least 18 years old to create an account.

You may not create multiple accounts to circumvent plan limits, referral restrictions or any other feature of the Service. We reserve the right to merge or terminate duplicate accounts.

4. Subscription and billing

Plans and pricing. Reputito offers monthly and annual subscription plans as listed on our pricing page. Prices are displayed in Euros (EUR).

Billing. Subscriptions are billed in advance at the start of each billing period. Payment is processed via Stripe. By providing payment details you authorise us to charge the applicable fees on a recurring basis.

Renewals. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account dashboard.

Refunds. We do not offer refunds for partial subscription periods. If you believe you have been charged in error, contact us within 14 days at legal@reputito.com.

Price changes. We will notify you of price changes at least 30 days in advance by email. Continued use after the effective date constitutes acceptance of the new price.

Extra packs. In addition to your subscription plan, you may purchase additional comment or email credits as one-time add-ons. These credits are non-refundable and expire at the end of the billing month in which they were purchased.

5. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe the intellectual property rights of any third party.
• Send, generate or automate spam, misleading content or harassment.
• Circumvent or interfere with the rate limits or terms of service of any connected social media platform.
• Attempt to gain unauthorised access to our systems or other users’ accounts.
• Reverse engineer, decompile or disassemble any part of the Service.
• Resell or sublicense access to the Service without our written permission.
• Use the Service to process data of minors under 13 years of age.
• Use the Service in a manner that violates the developer policies, terms of service or community standards of any connected social media platform, including Meta, TikTok or Google.

We reserve the right to suspend or terminate your account immediately if you have violated this section.

6. Referral program

Active subscribers may refer new customers using their unique referral link. For each referred customer who subscribes to a paid plan and remains active, the referrer earns a 25% recurring commission on the referred customer’s monthly subscription fee, paid monthly.

Commission rules:

• Commissions are earned only while both the referrer and the referred customer maintain active paid subscriptions.
• If the referrer cancels their subscription, commission payments pause and resume automatically upon resubscription.
• Self-referrals, fraudulent referrals or referrals obtained through misleading means will be disqualified and may result in account termination.
• Reputito reserves the right to modify or discontinue the referral program at any time with 30 days notice to active participants.
• Commissions are paid monthly. A minimum threshold may apply before payment is issued.

7. Platform compliance and account safety

Reputito is designed to help you manage social media interactions in a compliant manner. However, we do not guarantee that use of the Service will prevent account restrictions, suspensions or bans imposed by third-party social media platforms (including Meta, TikTok, Google or YouTube).

You are solely responsible for how you configure and use automations, reply rules and AI settings. We strongly recommend following our built-in safe delay settings and recommended configurations. Reputito will not be liable for any account restrictions resulting from your own configuration choices, overriding recommended settings, or violations of third-party platform terms of service.

By using the Service, you acknowledge that social media platforms may update their policies at any time, and compliance with those policies is your responsibility.

8. AI-generated content

The Service uses artificial intelligence to generate suggested replies to social media comments and emails. You acknowledge that:

• AI-generated replies are suggestions only. You are responsible for reviewing and approving any content before it is published under your brand.
• Where you enable automatic replies, you accept full responsibility for the content published on your social media accounts.
• Reputito does not guarantee the accuracy, appropriateness or compliance of AI-generated content with any applicable laws, platform policies or industry standards.
• You retain the right to review, edit or disable AI replies at any time from your account settings.

9. Intellectual property

Our content. The Service, including all software, designs, text, graphics, algorithms and features, is owned by Reputito SRL or its licensors and protected by intellectual property laws. You may not copy, reproduce or create derivative works without written permission.

Your content. You retain ownership of all social media content and data that you connect to the Service. By using the Service, you grant us a limited, non-exclusive licence to access, process and display your content solely to provide the Service to you.

Feedback. If you submit feedback or suggestions, you grant us a royalty-free, perpetual licence to use that feedback for any purpose without obligation to you.

10. Data and privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR, in relation to the data of your social media audiences.

Where you connect third-party social media accounts (Instagram, Facebook, TikTok, YouTube, Google Play, Google My Business), you represent and warrant that you have the right and authority to connect those accounts and to authorise Reputito to access, process and display the associated data. You agree to comply with the terms of service and developer policies of each connected platform.

11. Limitation of liability

To the maximum extent permitted by Romanian law and EU consumer protection regulations:

• The Service is provided “as is” without warranties of any kind, express or implied.
• Reputito SRL will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business interruption, arising from your use of or inability to use the Service.
• Our total aggregate liability to you for any claim arising under these Terms will not exceed the total fees paid by you to Reputito in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded under applicable law.

12. Termination

By you. You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then.

By us. We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if continued provision of the Service is commercially impractical. We will notify you by email where feasible.

Effect of termination. Upon termination, your right to access the Service ends. We will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination will remain in effect. Upon account deletion, your data will be deleted in accordance with our Privacy Policy. Any unused subscription time or extra pack credits are forfeited upon voluntary cancellation or termination for breach.

13. Governing law

These Terms are governed by the laws of Romania. Any disputes will be subject to the exclusive jurisdiction of the competent Romanian courts, without prejudice to your rights as a consumer under applicable EU consumer protection law.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.

14. Force majeure

Reputito will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to internet outages, third-party API unavailability (including Meta, TikTok or Google platform outages), natural disasters, or changes in applicable law.
